Terms of Service

1 Definitions

• "OnePane" means Psycho Solutions, LLC, a Tennessee limited liability company doing business as OnePane.
• "Service" means the OnePane unified management platform, including the web application, APIs, collector agents, and any related software or documentation provided by OnePane.
• "Customer" means the organization or individual that has registered for an account and accepted these Terms.
• "User" means any individual authorized by the Customer to access the Service under the Customer's account.
• "Customer Data" means all data, telemetry, configurations, and content submitted to the Service by or on behalf of the Customer.
• "Subscription" means the paid access tier selected by the Customer as described in the applicable Order Form or pricing page.

2 Eligibility and Account Registration

You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or your organization to use the Service. By registering, you represent and warrant that:

• All registration information you provide is accurate and current
• You will maintain the accuracy of such information
• Your use of the Service does not violate any applicable law or regulation
• You are responsible for maintaining the confidentiality of your account credentials

You are responsible for all activity that occurs under your account. Notify us immediately at security@onepane.io if you suspect unauthorized access.

3 License and Permitted Use

Subject to these Terms and payment of applicable fees, OnePane grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations during the Subscription term.

You may not:

• Sublicense, resell, or otherwise make the Service available to third parties without our written consent
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to build a competing product or service
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure
• Attempt to gain unauthorized access to any portion of the Service or related systems
• Use automated means to scrape, crawl, or extract data from the Service beyond what our APIs permit
• Transmit malware, viruses, or other harmful code through the Service

4 Subscriptions, Fees, and Payment

5 Customer Data and Ownership

You retain all rights, title, and interest in and to your Customer Data. You grant OnePane a limited, worldwide license to host, copy, transmit, and display Customer Data solely as necessary to provide the Service.

You represent and warrant that you have all rights necessary to submit Customer Data to the Service and that doing so does not infringe any third-party intellectual property rights or violate any applicable law.

OnePane will not access Customer Data except to provide the Service, respond to support requests, comply with legal obligations, or as otherwise permitted by these Terms or our Privacy Policy.

6 Intellectual Property

The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is and remains the exclusive property of Psycho Solutions, LLC (doing business as OnePane) and its licensors. These Terms do not grant you any rights in OnePane's intellectual property beyond the limited license described in Section 3.

If you submit feedback, suggestions, or ideas about the Service, you grant OnePane a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

7 Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information").

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known before disclosure; (c) is independently developed without use of the other party's Confidential Information; or (d) must be disclosed by law, provided the disclosing party gives prompt written notice where legally permitted.

8 Service Availability and SLA

OnePane targets 99.9% monthly uptime for the core platform. Scheduled maintenance windows will be communicated at least 48 hours in advance via the status page at status.onepane.io.

We do not guarantee uninterrupted or error-free access to the Service. Downtime caused by factors outside our reasonable control (force majeure, third-party infrastructure failures, Customer-side network issues) is excluded from SLA calculations.

You agree to indemnify, defend, and hold harmless OnePane and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your Customer Data; (c) your violation of any applicable law or third-party rights; or (d) any negligent or willful misconduct by you or your Users.

13 Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall first be subject to good-faith negotiation between the parties.

If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the arbitration award may be entered in any court of competent jurisdiction. You waive the right to participate in a class-action lawsuit or class-wide arbitration.

14 Modifications to Terms

We reserve the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Continued use of the Service after the notice period constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your Subscription before the effective date.

15 General Provisions

• Entire Agreement. These Terms, together with the Privacy Policy and any applicable Order Form, constitute the entire agreement between you and OnePane regarding the Service and supersede all prior agreements.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Waiver. Failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.
• Assignment. You may not assign or transfer these Terms or your account without our prior written consent. OnePane may assign these Terms in connection with a merger or acquisition.
• Notices. Legal notices to OnePane must be sent to legal@onepane.io. Notices to you will be sent to the email address on your account.

16 Third-Party Trademarks

OnePane integrates with and displays telemetry from devices and services manufactured or operated by third parties. All third-party product and company names referenced within the Service are used solely for the purpose of identifying the products being managed and are the property of their respective owners. Such references do not imply any affiliation with, endorsement by, or sponsorship by those companies.

Without limitation, the following are trademarks or registered trademarks of their respective owners:

• Starlink® is a trademark of Space Exploration Technologies Corp. (SpaceX).
• Ericsson® is a trademark of Telefonaktiebolaget LM Ericsson.
• Peplink® is a trademark of Peplink International Ltd.
• Teltonika® is a trademark of Teltonika Networks.

OnePane is an independent software platform and is not an authorized reseller, agent, or official partner of any third-party vendor referenced in the Service unless expressly stated in a separate written agreement. Use of these names is solely for nominative, descriptive, and interoperability purposes consistent with applicable fair use principles.
